These terms and conditions apply when you place an order on our website, smarti.co.uk. Please read them carefully before you order. We have written them in plain English, and explain any legal terms in brackets.
Smarti is a brand of Y3K (Europe) Limited (“Y3K”, “we”, “us”, “our”). When you order from us, you agree to these terms.
Important. Smarti is a subscription service. These website terms cover the ordering process. The ongoing service — including the devices, the platform, connectivity, the minimum term, and how data is handled — is governed by our Smarti Services Agreement. The Services Agreement is the main contract for the service. If anything in these website terms conflicts with the Services Agreement, the Services Agreement applies to the service. You can ask us for a copy of the Services Agreement at any time, and you will be asked to accept it when you sign up.
1. Who we are and how to contact us
We are Y3K (Europe) Limited, a company registered in England and Wales (company number 03924841). Our address is Airport House, 265 Purley Way, Croydon, CR0 0XZ.

2. Some words we use
- Services Agreement means our Smarti Services Agreement, which sets out the full terms for the Smarti service.
- Device or Equipment means the hardware we supply, such as a dashcam or tracker, and any accessories.
- Service means the Smarti platform, connectivity, hosting and support.
- Order means your order for devices and/or service placed on our website.
- Subscription means the ongoing monthly service.
- VAT means UK value added tax.
3. Business customers
Smarti is for business use. When you place an order on our website, you do so as a business — this includes sole traders, companies and other organisations — and for business purposes. These are business-to-business terms, and they apply to your order.
If, despite this, you are a consumer in law (an individual buying outside any trade, business or profession), we do not exclude any rights you have that cannot lawfully be excluded.
By ordering, you confirm that the information you give us is accurate, that you are buying as a business, and that you are at least 18 years old.
4. Ordering online
You can buy online for a small number of vehicles or assets (currently up to ten). For larger orders, please contact us for a quote.
Our website will guide you through the order. Please check your order carefully before you place it.
Prices on our website are shown excluding VAT, and VAT is added where it applies. We try to keep prices and product details accurate, but errors can happen. If we find an error in the price or description of something you have ordered, we will contact you. You can then confirm the order at the correct price, or cancel it. If the pricing error is obvious and could reasonably have been spotted, we do not have to supply the product at the wrong price.
5. How a contract is made
When you place an order, you are making an offer to buy. We will send you an acknowledgement, but this does not mean your order is accepted.
A contract is formed only when we accept your order. We accept your order when we send you confirmation that we are processing it, or when we ship the devices or activate the service — whichever happens first.
If we cannot accept your order (for example, because of an error, a stock problem, or a failed credit or fraud check), we will tell you and will not charge you, or will refund any payment taken.
When you sign up for the Service, you will also be asked to accept the Services Agreement. The Services Agreement and these terms together form your agreement with us.
6. Prices, payment and billing
All prices are exclusive of VAT, which is payable in addition.
Smarti is billed by subscription. As set out in the Services Agreement:
- we usually invoice the first three months of charges in advance;
- we do not ship devices or activate the service until we have received cleared payment in full; and
- after that, charges are billed monthly in advance and collected automatically from your chosen payment method.
You must keep a valid payment method, and make sure there are enough funds to pay each invoice when due. If a payment fails, the Services Agreement explains what happens, including our right to charge interest on late payment and to suspend the service.

7. Delivery, risk and ownership of devices
We will arrange delivery of your devices after we receive cleared payment.
Risk in the devices (responsibility for loss or damage) passes to you on delivery. Please check your devices on delivery and tell us promptly if anything is missing or damaged.
Ownership of the devices stays with us until the end of the minimum term and full payment of everything due, as set out in the Services Agreement. Until then, you must look after the devices and must not sell, alter or remove them, except as allowed in the Services Agreement.
Installation is your responsibility unless we have agreed in writing to install for you. The Smarti devices are designed to plug in easily, but a permanent fit should be carried out by a suitably qualified person.
8. Ending the service, and faulty devices
Once we have accepted your order, you do not have a general right to cancel and get a refund simply because you have changed your mind. Your right to end the service, and any early termination charge, are set out in the Services Agreement, which includes a minimum term.
Faulty devices
If a device is faulty, we will repair or replace it under the warranty set out in the Services Agreement. This does not affect any rights that cannot lawfully be excluded.

9. Using our website
You may use our website only for lawful purposes. You must not misuse it, try to gain unauthorised access, or interfere with how it works.
If you create an account, you are responsible for keeping your login details secure and for activity under your account. Please tell us straight away if you think your account has been misused.
10. Our content and brands
Our website, and the Smarti and Y3K names, logos and content, are owned by us or our licensors. You may not copy or use them without our permission, except as needed to use the website normally.
11. Our responsibility to you
We do not exclude or limit our responsibility to you where it would be unlawful to do so. This includes responsibility for death or personal injury caused by our negligence, for fraud, and for anything else that cannot lawfully be excluded.
Subject to that:
- we are not responsible for losses that are not foreseeable, or that are not caused by our breach;
- we are not responsible to business customers for loss of profit, revenue, business, goodwill, savings or data, or for indirect or consequential loss; and
- our total responsibility for the service is limited as set out in the Services Agreement.
The devices and service support monitoring, tracking and asset management. They are not safety devices, and we cannot guarantee they will prevent loss, theft, damage, or capture every event. Please see the Services Agreement for more on this.
12. Things outside our control
We are not responsible for delays or failures caused by events outside our reasonable control, such as network or supplier failures, severe weather, fire, flood, strikes, or government action. If such an event happens, we will let you know and do what we reasonably can to limit the effect.
13. Other important terms
We may transfer our rights and duties under these terms to another business, for example if we sell or reorganise. This will not affect your rights. You may not transfer your rights or duties without our written agreement.
If a court finds part of these terms unlawful, the rest will continue to apply.
If we do not enforce a term, or delay doing so, that does not mean we have given up our rights.
These terms, together with the Services Agreement, are the whole agreement between us about online orders and the service.
A person who is not a party to these terms has no right to enforce them, except as the law allows.
14. Which law applies, and where disputes are dealt with
These terms are governed by the law of England and Wales.
The courts of England and Wales have exclusive jurisdiction over any dispute about these terms or your order.
